Terms of use

1. Definitions

• "Applicable Laws" means all laws, statutes, rules, regulations, notifications, directives, guidelines, circulars, and lawful orders of any governmental, regulatory, judicial, or quasi-judicial authority applicable to you, us, the Platform, or the Services, including the Digital Personal Data Protection Act, 2023, and all sectoral directions (including those of the RBI and NPCI), consumer protection, and e-commerce laws in force from time to time.
• "Content" means all text, images, graphics, reviews, photographs, offers, event listings, configurations, feedback, and other materials posted, uploaded, or submitted to the Platform by Hubb, Hosts, Partners, or Users.
• "Customer" means an individual who uses the Hubb app to discover businesses, attend events, make purchases, and earn or redeem Hubb Points.
• "Event" means any curated dinner, sundowner, private evening, community gathering, launch, or similar experience made available for discovery, RSVP, or booking on the Platform, whether free or ticketed.
• "Host" means the person or entity responsible for planning and running an Event listed on the Platform. Hosts include (a) Hubb itself, for Hubb Society and Hubb-run Events; (b) brand Partners; and (c) verified individual or community Hosts who are not brands.
• "Hubb Points" means the non-cash membership value earned and redeemed within the Platform, as described in Clause 6.
• "Merchant" or "Partner" means a business listed on the Platform that accesses the merchant dashboard to configure Hubb Points, view transactions, host Events, and manage operations.
• "Payment Service Providers" means the payment aggregators and gateways authorised by the RBI, including Razorpay, that process transactions on the Platform.
• "Services" means the discovery, payment, Hubb Points, social, and Events features and all other functionality made available through the Platform.
• "Users" means any person accessing or using the Platform, including Customers, Merchants, and Hosts.

2. Eligibility and registration

You may use the Platform only if you are competent to contract under Applicable Laws. You must be at least eighteen (18) years of age, or access the Platform with the verifiable consent of a parent or legal guardian. By registering, you represent and warrant that you meet this eligibility requirement and that all information you provide is accurate, current, and complete.

Customers register through email, phone number, or a supported third-party login. A one-time password may be sent to verify your details. Merchants and Hosts must be verified through the process set by Hubb before they can list Events, configure Hubb Points, or access the dashboard.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly at support@hubbrewards.com of any suspected unauthorised use of your account.

Hubb Society access is invite-only and subject to verification. Invitation to, or membership of, Hubb Society is granted at our sole discretion and may be withdrawn where these Terms or the Platform Policies are breached. The core app features (discover, pay, earn, redeem, and the social feed) remain open to any verified User who downloads the app.

We may, at our sole discretion and without liability, refuse registration, suspend or restrict access, request government-issued identity documents, or block devices where we reasonably suspect a breach of the Platform Policies, fraud, a security risk, or non-compliance with Applicable Laws.

3. Acceptable use

You agree to access and use the Platform only for lawful purposes and in accordance with the Platform Policies. You must not, and must not enable others to:

• impersonate any person or business, or misrepresent your identity, affiliation, or eligibility to access any feature or Event;
• use any robot, scraper, crawler, bot, or other automated means to access, extract, copy, or manipulate the Platform, its Content, or our systems;
• probe, scan, or test the vulnerability of the Platform, or breach or circumvent any security or authentication measure;
• reverse engineer, decompile, or disassemble any part of the Platform or Services;
• upload or distribute any Content that is unlawful, abusive, defamatory, obscene, harmful, or that infringes the intellectual property or other rights of any third party;
• interfere with, disrupt, or impair the integrity, security, or performance of the Platform; or
• engage in unauthorised resale, transfer, duplication, or tampering with Event tickets, invitations, RSVPs, Hubb Points balances, or other benefits.

4. Discovery and social features

The Platform provides location-aware discovery of businesses, editorial lists, and brand pages. Recommendations, listings, and editorial content are provided for your personal, non-commercial use and may be provided by or drawn from Partners; they may contain inaccuracies, and we do not warrant their completeness or availability.

The social features of the Platform allow you to follow other Users and see activity tied to real-world places and Events. You are responsible for the information you choose to make visible to others. You must not use these features to harass, stalk, or infringe the privacy of any other User. You may control the visibility of your activity through your account settings, subject to the Privacy Policy.

Where the Platform enables location-based features, you may enable or disable location permissions through your device settings. Some features may not function correctly if location access is disabled.

5. Events

The Platform allows Users to discover, RSVP to, and where applicable book Events hosted by (a) Hubb, (b) brand Partners, and (c) verified individual or community Hosts. Depending on the Event, access may be open, invite-only, or subject to a waitlist, verification, or approval by the Host.

Hubb's role varies by Event. For Hubb Society and Hubb-run Events, Hubb is the Host and is responsible for the Event. For Events hosted by Partners or by verified non-brand Hosts, Hubb provides discovery, RSVP, ticketing, and payment facilitation, while the Host is responsible for planning, producing, and operating the Event. The specific terms, eligibility conditions, and policies of the Host and venue apply in addition to these Terms, and we will make reasonable efforts to make Host-specific terms available where they affect pricing or admission.

Some Events are ticketed. Where an Event is ticketed, the ticket price and any applicable platform or processing fee are disclosed at checkout. The fee applicable to a ticketed Event is agreed between Hubb and the relevant brand or Event Partner and may vary by Event. Your booking becomes a binding contract only when your payment is successfully captured and a confirmation is issued to you. If your payment fails, is declined, or is reversed before confirmation, we have no obligation to you in respect of that ticket.

Where you RSVP, book, or host an Event, you must comply with all Host and venue rules, capacity controls, and safety and security protocols. A Host or venue may refuse or revoke admission for non-compliance, without any obligation on Hubb to provide compensation.

Verified Users and Partners who host Events through the host dashboard are responsible for the accuracy of their Event listings, for the conduct and safety of their Events, and for compliance with all Applicable Laws, including any licensing, permit, and age-restriction requirements. Hosts must not list Events that are unlawful, misleading, or that they are not authorised to run. Hubb may remove any Event listing or suspend any Host that breaches these Terms or the Platform Policies.

Refunds and cancellations for ticketed Events are governed by the applicable Host's terms and Applicable Laws. Where an Event is cancelled or materially rescheduled by the Host, we will notify you using your registered contact details and facilitate any refund due in accordance with the Host's terms and RBI-prescribed timelines. Platform and payment processing fees may be non-refundable unless required by Applicable Laws. We are not liable for any costs or losses you incur in connection with attending, or being unable to attend, any Event beyond the remedies expressly stated in the Platform Policies and the applicable Host terms.

By attending an Event, you acknowledge that photographs, video, or other media may be captured at the venue by Hubb, the Host, or their authorised representatives, and that your image and likeness may appear in such media. Your rights and our handling of such media are described further in the Privacy Policy and Clause 8 (User Content).

6. Hubb Points and payments

Hubb Points are non-cash membership credits earned from qualifying purchases and activity at partner businesses on the Platform. Hubb Points represent membership value, not a discount, cashback, or deposit. They carry no monetary value outside the Platform, cannot be exchanged for cash, and cannot be transferred peer-to-peer or used outside the Platform.

Hubb Points may be redeemed across participating businesses on the Platform, subject to these Terms and any rules set by the relevant business. Hubb Points do not expire. We may correct Hubb Points balances for posting errors, system issues, or miscalculations, and may revoke, suspend, or forfeit Hubb Points where we reasonably determine that they were earned through fraud, abuse, or a breach of the Platform Policies, or where required to comply with Applicable Laws.

Payments on the Platform are processed through Payment Service Providers, including Razorpay and its split-settlement facility. By placing an order or booking, you authorise our Payment Service Providers to debit your payment instrument for the order amount, including applicable fees and taxes, and to process reversals and refunds as permitted under Applicable Laws.

Prices displayed on the Platform are inclusive of applicable Goods and Services Tax unless stated otherwise, and may be subject to separately disclosed platform or payment processing fees. We are a technology and facilitation provider; we are not a bank or financial service and do not hold or control funds except as facilitated through our Payment Service Providers. We are not liable for failures, downtimes, or delays within the payment infrastructure of our Payment Service Providers or your issuing bank.

Where your bank account is debited but a confirmation is not generated due to a network or system issue, we will instruct our Payment Service Providers to initiate a reversal. Reversals and refunds are processed in accordance with RBI turn-around-time guidelines; the time for funds to reflect in your account depends on your issuing bank's settlement cycles, which are beyond our control.

7. Merchant dashboard

Merchants and their authorised users may access the dashboard to configure Hubb Points, view transaction and customer activity, host and manage Events, and process refunds. All information entered, including store details, business hours, images, and settlement information, must be accurate and kept up to date.

Merchants are responsible for maintaining the confidentiality of their dashboard credentials and for all activity under their account. Merchants must not misuse dashboard tools to falsify customer activity, manipulate offers, or interfere with other businesses on the Platform.

Access to aggregate market insights within the dashboard is subject to minimum density thresholds designed to protect the confidentiality of individual businesses and Customers. Merchants may access personally identifiable Customer data only in respect of their own Customers and must process such data in accordance with Applicable Laws and the Privacy Policy.

8. User Content

Where the Platform enables you to create, upload, or share Content, including photographs, reviews, Event media, and other materials ("User Content"), you are solely responsible for it and for obtaining all rights, licences, and consents necessary to upload and share it. Where other individuals are identifiable in your User Content, you confirm that they have consented to being depicted and to the use of that Content as permitted under the Platform Policies.

You must not submit User Content that is unlawful, defamatory, obscene, harassing, invasive of privacy, infringing of intellectual property or other rights, misleading, or otherwise in breach of Applicable Laws or the Platform Policies. Any synthetically generated Content must be clearly labelled as such, and you must not remove or alter such labels.

To enable us to operate, improve, and promote the Platform and Services, you grant Hubb and our Partners a worldwide, royalty-free, non-exclusive, transferable, and sub-licensable licence to host, store, use, reproduce, adapt, publish, and display your User Content in connection with the Platform and Services. Insofar as your User Content contains personal data, we process it in accordance with the Privacy Policy and Applicable Laws.

We do not routinely monitor User Content, but we may remove or disable access to any User Content, and suspend or terminate any account, where we become aware that it breaches the Platform Policies or Applicable Laws.

9. Intellectual property

All intellectual property rights in and to the Platform, the Services, and all Content made available by us, including the software, interfaces, designs, editorial content, photographs, graphics, logos, trademarks, and the "Hubb" word mark and logo (collectively, "Platform Content"), are owned by or licensed to Hubb and are protected under Applicable Laws.

We grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Platform Content solely for your personal, non-commercial use in connection with the Services. Except as expressly permitted, you must not copy, reproduce, distribute, publicly display, scrape, modify, translate, create derivative works from, or otherwise exploit any Platform Content without our prior written permission.

10. Disclaimers

The Platform and Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by Applicable Laws. We do not warrant that the Platform will be uninterrupted, timely, secure, or error-free, or that Content, listings, or recommendations will be accurate or complete.

We are not responsible for the quality, pricing, safety, conduct, or performance of any business, Host, or Event listed on the Platform, or for the acts or omissions of any User. For Events, details such as timing, line-up, venue, and inclusions are determined by the Host or venue and are subject to change. Your use of the Platform and your attendance at any Event are at your sole risk.

Access to the Platform relies on networks, servers, and devices, including those operated by third parties, which may experience failures, delays, or attacks beyond our reasonable control. While we implement reasonable security measures, we do not warrant that the Platform is free of vulnerabilities. You are responsible for securing your devices, network, and credentials.

11. Limitation of liability and indemnity

To the extent not prohibited by Applicable Laws, Hubb and its affiliates and Partners shall not be liable for any indirect, incidental, special, punitive, or consequential damages, or for any loss of profits, revenue, goodwill, or data, however caused and regardless of the theory of liability, even if advised of the possibility of such damages.

To the extent not prohibited by Applicable Laws, our total aggregate liability to you for any and all claims arising out of or in connection with these Terms, the Platform, the Services, Hubb Points, or any transaction shall not exceed the lower of (a) the amount you paid us for the specific transaction giving rise to the claim, or (b) the total fees you paid us in the three (3) months before the claim arose, and in any event shall not exceed five thousand rupees (₹5,000).

You agree to defend, indemnify, and hold harmless Hubb and its affiliates, officers, employees, agents, and Partners from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of or related to (a) your breach of the Platform Policies or Applicable Laws; (b) your use or misuse of the Platform or Services; (c) your User Content; or (d) your attendance at, or hosting of, any Event, including any violation of venue or safety rules.

12. Suspension and termination

You may stop using the Platform at any time and may request deletion of your account by contacting us at support@hubbrewards.com.

We may suspend or terminate your access to the Platform, in whole or in part, where you breach these Terms or the Platform Policies, where required by Applicable Laws, or to protect the security or integrity of the Platform. Certain data may be retained after termination for legal, tax, audit, and operational purposes, as described in the Privacy Policy.

13. Grievance redressal

If you have any complaint or grievance about any Content, your access to the Platform, or any Service, you may write to our Grievance Officer with your name, contact details, and a description of the concern. We will acknowledge and endeavour to resolve grievances within a reasonable period not exceeding thirty (30) days from receipt.

14. General

• Governing law and jurisdiction. These Terms are governed by the laws of India. The courts at New Delhi shall have exclusive jurisdiction, subject to prior good-faith resolution of any dispute through mutual discussion for a period of thirty (30) days from notice of the dispute.
• Force majeure. We shall not be liable for any failure or delay in performance caused by any event beyond our reasonable control, including acts of God, fire, flood, epidemic, pandemic, war, civil disturbance, governmental action, network or utility failure, cyber-attack, or failures affecting our Partners, Payment Service Providers, Hosts, or venue operators.
• Entire agreement and severability. The Platform Policies constitute the entire understanding between you and Hubb and supersede any prior agreement. If any provision is held invalid or unenforceable, it shall be severed and the remaining provisions shall continue in full force.
• Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign or sub-contract our rights and obligations for the efficient delivery of the Services.
• Notices. Notices to you will be sent to the contact details in your account. We may also send notices regarding your use of the Services through the Platform.
